Zunua Terms of Use
Welcome to ZUNUA. These Terms of Use (hereafter referred to as the “Terms” or “Agreement”) govern the relationship between you (hereafter referred to as “you,” “your,” or “user”) and ZUNUA, LLC, including its subsidiaries, affiliates, directors, officers, employees, agents, licensors, and representatives (collectively, “ZUNUA,” “we,” “us,” or “our”), regarding your access to and use of our websites, applications (including mobile applications), software, products, platforms, and other services (collectively, the “ZUNUA Services”). BY ACCESSING OR USING ANY PART OF THE ZUNUA SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not accept these Terms in their entirety, you must immediately cease all use of the ZUNUA Services; any continued use will be considered unauthorized. We may update or revise these Terms at any time without notice. It is your responsibility to periodically review these Terms. Your continued use of the ZUNUA Services constitutes your acceptance of any changes.
SCOPE OF SERVICES AND ELIGIBILITY
These Terms apply to any ZUNUA Services that display or link directly to them. If any specific ZUNUA product or service contains supplemental or more specific terms, those terms will control if there is a conflict with these Terms. The ZUNUA Services are intended for individuals who are at least eighteen (18) years of age. By accessing or using the ZUNUA Services, you represent and warrant that you are eighteen (18) years of age or older and fully capable of entering into a binding legal agreement. You further agree to comply with all applicable local, state, national, or international laws, statutes, ordinances, and regulations regarding your use of the ZUNUA Services.
LIMITED LICENSE AND INTELLECTUAL PROPERTY
You are granted a personal, revocable, nonexclusive, nontransferable, and limited license to access and use the ZUNUA Services in strict accordance with these Terms. This license does not include any resale or commercial use of the ZUNUA Services or its contents, nor does it include the collection or use of any listings, descriptions, or prices, or the derivative use of the ZUNUA Services or its contents. You may not use data mining, robots, or similar data-gathering and extraction tools on the ZUNUA Services.
All content, materials, logos, trademarks, and intellectual property used within or in connection with the ZUNUA Services are the property of ZUNUA or of third parties that have authorized their use. Any unauthorized reproduction, duplication, distribution, sale, resale, or exploitation of any part of the ZUNUA Services or its contents immediately terminates the license granted by ZUNUA, without prejudice to any other legal or equitable remedies.
CONTENT POSTED BY USERS
ZUNUA does not control and is not responsible for any user-generated content, including but not limited to text, images, videos, software, code, messages, offers, or any other materials (“User Content”) posted via the ZUNUA Services. You alone are responsible for any User Content you post, upload, distribute, or otherwise transmit. By posting User Content, you represent and warrant that you have the lawful right to do so and that the User Content does not violate any third party’s intellectual property, privacy, publicity, contractual, or other rights.
By posting any User Content, you automatically grant ZUNUA a perpetual, irrevocable, worldwide, fully paid, nonexclusive, and sublicensable license to copy, display, distribute, perform, modify, create derivative works from, and otherwise use your User Content in any media or form. You also grant ZUNUA the right to enforce against any unauthorized copying, distribution, performance, or derivative use of your User Content by third parties. ZUNUA reserves the right to remove, disable, or modify any User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice. ZUNUA and its representatives do not assume any obligation to monitor or moderate User Content, but we may do so if we believe it necessary to protect our interests, enforce these Terms, or ensure the integrity of the ZUNUA Services. You agree to rely on any User Content solely at your own risk, and ZUNUA makes no endorsements or warranties concerning User Content posted by any user.
CONDUCT AND MODERATION
ZUNUA reserves the right, but not the obligation, to regulate or moderate any content or user conduct on the ZUNUA Services at any time and by any lawful means we deem necessary to enforce these Terms. We may block, filter, restrict, remove, edit, or disable access to any content or conduct deemed to be in violation of these Terms. We also reserve the right to limit or terminate access to the ZUNUA Services for users who breach these Terms or engage in any conduct harmful to ZUNUA, the ZUNUA Services, or other users.
Any action or inaction by ZUNUA or its representatives to moderate conduct, remove content, or enforce these Terms is taken voluntarily and in good faith. ZUNUA and its representatives shall not be liable for such actions or inactions. No statement by any ZUNUA representative, employee, or moderator can waive these Terms or provide a binding commitment to address or rectify any particular content or conduct.
ACCOUNTS AND REGISTRATION
When creating an account for any ZUNUA Services, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify ZUNUA of any suspected unauthorized access to or use of your account.
You may not create multiple accounts or use any unauthorized means to circumvent restrictions or obtain additional accounts. Posting content on behalf of a third party or allowing a third party to post content on your behalf is strictly prohibited, unless you have written authorization from ZUNUA. We reserve the right to refuse registration, suspend, or terminate accounts at any time if we believe you have provided inaccurate information or engaged in improper or fraudulent conduct.
UNAUTHORIZED ACTIVITIES
You agree not to use any automated methods, including but not limited to scripts, robots, or data-mining tools, to access, interact, or harvest data from the ZUNUA Services. You further agree not to reproduce, duplicate, copy, sell, trade, resell, or exploit any portion of the ZUNUA Services for commercial purposes without the express written consent of ZUNUA.
You may not circumvent or attempt to circumvent any security features of the ZUNUA Services, including CAPTCHAs or technical barriers designed to prevent or restrict access. You may not distribute malware, spyware, viruses, or any other harmful software through or in connection with the ZUNUA Services.
Any attempt, whether successful or not, to gain unauthorized access to user accounts, servers, databases, or networks connected to the ZUNUA Services is strictly prohibited. ZUNUA reserves the right to investigate and take legal action or other appropriate measures against any user who violates this section, including reporting to law enforcement authorities.
INTERACTIONS WITH OTHER USERS AND THIRD PARTIES
You are solely responsible for your communications, dealings, and transactions with other users and third parties. ZUNUA does not screen, endorse, or ensure the accuracy of user-generated or third-party content, nor do we verify the identity or authenticity of any user or third party. Any interactions you have with others, including the exchange of personal or financial information, are at your own risk.
The ZUNUA Services may contain links to third-party websites or resources. ZUNUA is not responsible for the availability, content, advertising, products, or services accessible from such third-party websites or resources. Your use of any third-party website or resource is governed by that party’s own terms and policies, and ZUNUA disclaims any liability in connection with such use.
FEES, PURCHASES, AND PAYMENT
Certain products, features, or services offered through the ZUNUA Services may require payment. You agree to pay all fees or charges incurred by your account in a timely manner, using a valid payment method. Unless otherwise stated, all fees are expressed in U.S. dollars and do not include applicable taxes, currency conversion fees, or other transaction costs. You are solely responsible for paying all such additional fees.
All purchases made through the ZUNUA Services are final unless otherwise required by law or stated explicitly in these Terms or related policies. ZUNUA reserves the right to modify its pricing, fees, or payment structure at any time, with or without notice. We also reserve the right to refuse or cancel any transaction if we suspect fraud, unauthorized conduct, or a violation of these Terms.
PRIVACY AND COLLECTION OF INFORMATION
ZUNUA respects your privacy. Our separate Privacy Policy (incorporated into these Terms by reference) describes how we collect, use, disclose, and safeguard your information. By using the ZUNUA Services, you consent to all actions taken by us with respect to your information in accordance with our Privacy Policy.
In certain circumstances, ZUNUA may be required to disclose your personal information to comply with valid legal processes, court orders, subpoenas, or governmental demands, or if we believe such disclosure is necessary to protect our rights, property, or safety, or that of other users or the public.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ZUNUA and its directors, officers, employees, representatives, affiliates, licensors, suppliers, and service providers (“Indemnified Parties”) from and against any and all claims, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (1) your User Content; (2) your use or misuse of the ZUNUA Services; (3) your breach of these Terms; (4) your dealings or interactions with other users or third parties; or (5) your violation of any third party’s rights or any applicable law. ZUNUA reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with such defense.
DISCLAIMERS
YOUR USE OF THE ZUNUA SERVICES IS AT YOUR OWN RISK. THE ZUNUA SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT ALLOWED BY LAW, ZUNUA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ZUNUA DOES NOT WARRANT THAT THE ZUNUA SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. ZUNUA DOES NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION, INCLUDING USER CONTENT OR THIRD-PARTY CONTENT. IN JURISDICTIONS WHERE THE EXCLUSION OF CERTAIN WARRANTIES IS NOT ALLOWED, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES SHALL ZUNUA OR ITS REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL) ARISING FROM OR RELATED TO (1) YOUR ACCESS TO OR USE OF THE ZUNUA SERVICES; (2) THE CONTENT OR CONDUCT OF ANY USER OR THIRD PARTY; (3) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT; (4) YOUR INTERACTIONS OR TRANSACTIONS WITH OTHER USERS OR THIRD PARTIES; OR (5) ANY OTHER MATTER RELATED TO THESE TERMS OR THE ZUNUA SERVICES.
IN NO EVENT SHALL ZUNUA’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO ZUNUA (IF ANY) IN THE SIX (6) MONTHS PRECEDING THE DATE A CLAIM AROSE, OR FIVE HUNDRED DOLLARS ($500.00), WHICHEVER IS LESS. YOU HEREBY RELEASE ZUNUA FROM ALL CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN OR UNKNOWN, ARISING OUT OF DISPUTES BETWEEN YOU AND OTHER USERS OR THIRD PARTIES. YOU EXPRESSLY WAIVE THE PROVISIONS OF CALIFORNIA CIVIL CODE § 1542 (AND ANY EQUIVALENT LAWS IN OTHER JURISDICTIONS), WHICH STATES THAT A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS YOU DO NOT KNOW OR SUSPECT EXIST IN YOUR FAVOR AT THE TIME OF EXECUTING THE RELEASE.
DAMAGES
At its discretion, ZUNUA may choose to seek actual damages or liquidated damages when enforcing these Terms, particularly where actual damages are difficult to quantify. The imposition of liquidated damages does not prevent ZUNUA from seeking injunctive or other equitable relief under these Terms or applicable law.
INJUNCTIVE RELIEF
You understand and agree that any violation or breach of these Terms could cause irreparable harm to ZUNUA, for which monetary damages would be an inadequate remedy. Therefore, ZUNUA is entitled to seek immediate injunctive relief, specific performance, or other equitable remedies without the necessity of posting bond or proving monetary damages, in addition to any other remedies available.
RELEASE OF INFORMATION AND SUBPOENAS
ZUNUA respects user privacy and follows our Privacy Policy. However, we may release personal information if required by valid legal processes, including court orders, subpoenas, or governmental demands, or if we believe, in good faith, that such disclosure is necessary to protect our rights, property, safety, or the rights, property, or safety of others. If you seek information about another ZUNUA user for legal reasons, you may be required to serve a valid subpoena or other lawful process to ZUNUA in accordance with applicable laws.
DISPUTE RESOLUTION AND ARBITRATION
Most user concerns can be resolved by contacting us directly. If we cannot resolve a dispute informally, then both you and ZUNUA agree that any dispute or claim related to these Terms or your use of the ZUNUA Services shall be settled by binding arbitration administered by a neutral arbitrator under the then-current rules of a recognized arbitration provider. The arbitration shall occur in the county of our principal place of business unless otherwise agreed. Any claim must be brought within one (1) year from the time it arose; otherwise, it is forever barred.
Both parties agree to conduct any dispute resolution on an individual basis and not as a class action. The arbitrator’s decision is binding and may be entered as a judgment in a court of competent jurisdiction.
TERMINATION AND SUSPENSION
You may terminate these Terms at any time by ceasing all use of the ZUNUA Services and deleting your account. ZUNUA may suspend, limit, or terminate your access to all or any part of the ZUNUA Services at its discretion if we believe you have violated these Terms or engaged in any conduct that we find objectionable or harmful. Upon termination, the disclaimers, indemnities, and limitations of liability in these Terms survive. ZUNUA will not be liable to you or to any third party for any termination or suspension of your access.
GOVERNING LAW AND VENUE
These Terms and any claim or dispute arising out of or relating to these Terms or the ZUNUA Services are governed by and construed under the laws of the State of [Insert State], without regard to its conflict of laws provisions. If any claim or dispute is determined not to be subject to the arbitration provisions herein, you agree that such claim shall be brought in the state or federal courts located in [Insert County and State], and you consent to the personal jurisdiction of such courts.
ENTIRE AGREEMENT, SEVERABILITY, AND WAIVER
These Terms, together with any additional terms or policies referenced or incorporated herein, constitute the entire agreement between you and ZUNUA regarding your use of the ZUNUA Services. If any provision of these Terms is found to be invalid or unenforceable, it shall be enforced to the fullest extent permissible, and all remaining provisions will remain in full force and effect. Any failure by ZUNUA to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision unless ZUNUA acknowledges such waiver in writing.
ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without ZUNUA’s prior written consent. Any attempted assignment in violation of this section is void. ZUNUA may freely assign or transfer its rights and obligations under these Terms at its sole discretion.
MODIFICATIONS TO THE SERVICES
ZUNUA reserves the right to modify, update, suspend, discontinue, or otherwise alter the ZUNUA Services at any time, with or without prior notice. You agree that ZUNUA will not be liable to you or any third party for any modification, suspension, or discontinuance of the ZUNUA Services.
ELECTRONIC COMMUNICATIONS AND CONTRACTING
By using the ZUNUA Services, you consent to receive communications from ZUNUA electronically, including via email or by posting notices on our sites or services. You agree that all agreements, notices, disclosures, and communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
You further acknowledge that your electronic submissions constitute your agreement and intent to be bound by these Terms and to pay for services or products purchased electronically. This agreement and intent to be bound by electronic submissions extends to all transactions you enter into on or through the ZUNUA Services.
FEEDBACK
Any suggestions, ideas, improvements, comments, or other feedback you provide regarding ZUNUA or the ZUNUA Services may be used by ZUNUA without restriction or obligation to compensate you. By submitting feedback, you grant ZUNUA a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, create derivative works from, distribute, and display such feedback for any purpose.
